OVERVIEW

Toy Canon is owned and operated by Speculate LLC, a California limited liability company.

Throughout these Terms of Service, “Toy Canon,” “we,” “us,” and “our” refer to Speculate LLC.

Toy Canon currently operates as an online-only toy and collectible store. Our website, online store, customer accounts, Collector XP program, Toy Canon Engine features, live chat, and other related features, tools, products, content, and services are collectively referred to as the “Services.”

By accessing or using Toy Canon, creating an account, placing an order or preorder, participating in Collector XP, or otherwise using our Services, you agree to these Terms of Service and any policies incorporated into them, including our Privacy Policy, Refund & Return Policy, Preorder Policy, Shipping Policy, and Collector XP Terms.

If you do not agree to these Terms, you may not use the Services.

SECTION 1 – ELIGIBILITY & ACCOUNTS

You must be at least 18 years old or the age of majority in your jurisdiction, or otherwise have the authorization of a parent or legal guardian where permitted by applicable law, to make purchases or create an account through the Services.

You are responsible for maintaining the confidentiality and security of your account credentials and for activity occurring through your account.

You agree to provide accurate, current, and complete information when creating an account, placing an order, or otherwise interacting with Toy Canon.

Toy Canon may restrict, suspend, or terminate access to an account when reasonably necessary to protect Toy Canon, our customers, our Services, or the integrity of our programs.

SECTION 2 – PRODUCTS & COLLECTIBLES

Toy Canon specializes in toys, collectibles, figures, blind bags, limited editions, exclusives, preorders, and other collectible merchandise.

Because collectibles are manufactured products:

Packaging condition may vary.
Minor manufacturer imperfections may exist.
Paint, finish, color, printing, alignment, and other characteristics may vary.
Product colors displayed on a screen may differ from the physical product.
Manufacturer-applied labels, stickers, packaging, or other characteristics may vary.

Unless otherwise stated, sealed merchandise sold as new is offered in new condition as received through our applicable supply channels.

Toy Canon makes reasonable efforts to provide accurate product descriptions, photographs, specifications, dimensions, manufacturer information, and other details. However, manufacturers may change product specifications, packaging, accessories, release information, or other details without notice.

Customers are responsible for reviewing the applicable product listing before purchasing.

Unless expressly stated on the product listing, Toy Canon does not guarantee mint or collector-grade packaging.

We reserve the right to limit quantities, restrict purchases, discontinue listings, correct product information, or otherwise manage product availability.

SECTION 3 – ORDERS

Placing an order constitutes an offer to purchase products from Toy Canon.

Toy Canon reserves the right, subject to applicable law, to:

Accept or decline an order.
Cancel an order.
Limit quantities.
Restrict purchases per customer, household, account, payment method, or address.
Request additional information or verification.
Cancel transactions reasonably suspected of fraud, abuse, resale manipulation, pricing exploitation, or other improper activity.

An automated order confirmation does not necessarily constitute final acceptance of an order.

If Toy Canon cancels a paid order or item for which the customer is entitled to a refund, we will initiate the applicable refund.

SECTION 4 – PRICING & PAYMENTS

Unless otherwise stated, prices are displayed in U.S. Dollars (USD).

Applicable sales taxes, shipping charges, customs duties, import taxes, and other charges may be calculated or added separately.

Toy Canon reserves the right to change prices and promotions at any time before an order is completed.

We make reasonable efforts to maintain accurate pricing. If a material pricing, listing, technical, or system error occurs, Toy Canon may correct the error and, where appropriate, cancel an affected transaction and issue an applicable refund.

Preorder Payments

Preorders are charged at the time of checkout.

Placing a preorder means you are paying in advance to reserve a product that has not yet been fulfilled.

Additional preorder terms are contained in the Toy Canon Preorder Policy.

SECTION 5 – SHIPPING & DELIVERY

Shipping methods and carriers may vary depending on the order, destination, product, cost, availability, and other logistical considerations.

Toy Canon may use carriers including USPS, UPS, DHL, or other shipping providers.

Any shipping or delivery timeframe displayed by Toy Canon is an estimate unless expressly stated otherwise.

Carrier delays, weather, transportation disruptions, customs processing, manufacturer delays, incorrect customer-provided information, and other circumstances outside Toy Canon's reasonable control may affect delivery.

Customers are responsible for providing a complete and accurate shipping address.

If an order is returned because of an incorrect or incomplete address provided by the customer, refused delivery, failure to collect a package, unpaid import charges, or another customer-related delivery issue, additional shipping charges may apply before the order can be resent.

Nothing in this section limits rights or responsibilities that cannot be excluded under applicable law.

SECTION 6 – INTERNATIONAL ORDERS

Toy Canon may offer international shipping to eligible destinations.

Available carriers, rates, countries, and services may change.

International customers are responsible for applicable:

Customs duties
Import taxes
Brokerage charges
Government fees
Other destination-country charges

unless Toy Canon expressly states that a particular charge is included.

These amounts may be assessed by governments, customs authorities, carriers, or other third parties and are generally outside Toy Canon's control.

Customers are responsible for complying with applicable import laws and restrictions.

If an international shipment is refused, abandoned, returned, or otherwise affected because required duties, taxes, customs charges, or other customer obligations were not satisfied, applicable shipping and return costs may be deducted from any refund where permitted by law.

SECTION 7 – PREORDERS

A preorder is an advance purchase of merchandise that is not yet ready for fulfillment.

Customers are charged immediately at checkout for preorder products.

By purchasing a preorder, you acknowledge that:

Product release and arrival dates are estimates.
Manufacturer or distributor schedules may change.
Products may be delayed.
Allocations may be reduced.
Product specifications or packaging may change.
Manufacturers or distributors may discontinue or cancel products.
A product may ultimately become unavailable to Toy Canon.

Toy Canon works to keep product information current and will make reasonable efforts to provide meaningful updates when appropriate. However, Toy Canon does not guarantee that every manufacturer, distributor, release-date, allocation, or availability update will result in individual customer notification.

Customers are encouraged to check the applicable product page and their order information for available updates.

If a manufacturer or distributor cancels a collectible, the product becomes unavailable to us, or Toy Canon otherwise determines that we cannot fulfill the preorder, Toy Canon may cancel the affected item or order and initiate the applicable refund promptly.

If you see that a preorder has been canceled, manufacturer or distributor cancellation, allocation, or product unavailability may be the reason. You may contact Toy Canon Support if you would like additional information.

Customer Preorder Cancellations

A customer may request cancellation of a preorder at any time before the applicable item has been fulfilled.

Once the item has been fulfilled, it can no longer be canceled as a preorder and becomes subject to the applicable Refund & Return Policy and any Final Sale designation.

SECTION 8 – FRIDAY DROPS

Toy Canon has developed a weekly Friday Drop system intended to regularly introduce newly available collectibles to our customers.

Our team works to source, prepare, review, price, and publish new products as they become available to us.

Friday Drops are an operating goal and customer experience feature. Toy Canon does not guarantee that a specific number of products, particular product, category, preorder, or in-stock item will be released every Friday.

Drop schedules, times, products, quantities, availability, and frequency may change.

Products may sell out or become unavailable at any time.

SECTION 9 – REFUNDS, RETURNS & FINAL SALE

Returns and refunds are governed by the Toy Canon Refund & Return Policy.

Eligible merchandise may generally be requested for return within 14 days of delivery, subject to the requirements of that policy.

Among other Final Sale categories:

Individual products priced at $100 or more are Final Sale.
Blind bags, mystery products, and randomized products are Final Sale.
Chases, rares, exclusives, signed items, serialized collectibles, and other specially designated collectibles are Final Sale.
Opened collectibles are not eligible for return.
Products specifically designated Final Sale are not eligible for ordinary returns.

A Final Sale designation does not prevent a customer from contacting Toy Canon regarding an incorrect shipment or qualifying damage or defect.

Customers are responsible for return shipping on ordinary approved returns unless otherwise determined by Toy Canon or required by law.

Return authorization is required before merchandise is sent to Toy Canon.

SECTION 10 – COLLECTOR XP

Toy Canon may provide a loyalty and rewards program known as Collector XP.

Collector XP is provided through technology and systems developed for Toy Canon, including components of the Toy Canon Engine.

XP Is Earned After Fulfillment

Purchase-related Collector XP is not earned or available immediately after checkout.

XP associated with an order remains pending until the applicable item has been fulfilled.

This is particularly important for preorders. A customer may pay for a preorder at checkout while the associated Collector XP remains pending until fulfillment.

If an item is canceled before fulfillment, its associated pending XP will not become available.

No Cash Value

Collector XP:

Is not cash.
Is not legal currency.
Is not a gift card.
Has no cash value.
Cannot be redeemed for cash.
Cannot be transferred or exchanged for cash.
May only be used through rewards and redemption methods specifically made available by Toy Canon.

XP Earning & Rewards

The Collector XP system is currently designed so that standard earning and redemption mechanics may provide benefits approximately equivalent to 10% of eligible purchase value under applicable earning and redemption conditions.

This is not a promise of 10% cash back.

XP earning rates, redemption values, tier benefits, reward availability, qualifying products, promotions, and other program mechanics may change.

Different Collector XP tiers, products, promotions, or programs may provide different earning rates or benefits.

Returns, Refunds & Redeemed XP

Returns, refunds, cancellations, chargebacks, order adjustments, and other transaction changes may cause associated XP to be withheld, removed, reversed, corrected, or adjusted.

If XP has already been redeemed, that XP will not automatically be restored or re-awarded because an associated purchase is later returned or refunded.

Customers should review the separate Collector XP Terms before participating in or redeeming XP.

XP Errors

Custom requests for discretionary XP are not guaranteed and generally will not be granted.

However, if you believe your account contains a legitimate XP calculation, fulfillment, redemption, or account error, please contact Toy Canon Support. We will be happy to investigate and correct verified errors where appropriate.

Fraud & Abuse

Toy Canon designed Collector XP to reward legitimate customers and collectors.

Toy Canon reserves the right to withhold, reverse, remove, suspend, or adjust XP when reasonably necessary to:

Correct errors.
Account for cancellations, returns, refunds, or chargebacks.
Enforce program rules.
Address suspected fraud.
Address manipulation or exploitation.
Prevent abuse of the Collector XP program.
Protect Toy Canon and legitimate program participants.

Toy Canon may restrict or terminate participation in Collector XP when reasonably necessary to address serious or repeated abuse.

Changes to Collector XP

Toy Canon reserves the right to administer, modify, restrict, suspend, replace, or discontinue all or part of Collector XP, including:

Earning rates
Redemption values
Tier requirements
Tier benefits
Reward availability
Qualifying transactions
Promotional XP
Program features
Account eligibility

subject to applicable law.

SECTION 11 – TOY CANON ENGINE & DIGITAL SERVICES

Toy Canon has developed and continues to develop proprietary software, systems, automations, and customer features collectively referred to in these Terms as the Toy Canon Engine.

These systems may support functionality including Collector XP, product information, inventory-related features, customer accounts, Friday Drops, and other Toy Canon experiences.

The Toy Canon Engine remains under active development.

From time to time:

Features may contain bugs or errors.
Information may temporarily display incorrectly.
Features may become temporarily unavailable.
Maintenance may be required.
Features may be modified, added, removed, or replaced.
Certain portions of the website may experience interruptions.

We work to maintain reliable core shopping and checkout functionality whenever reasonably possible, but Toy Canon does not guarantee uninterrupted or error-free access to the website, checkout, accounts, Collector XP, Toy Canon Engine, or other Services.

If you encounter a technical problem, particularly one involving your account, order, or Collector XP, please contact Toy Canon Support.

SECTION 12 – PRODUCT REQUESTS & SUGGESTIONS

Toy Canon welcomes product suggestions and feedback from collectors.

Customers may contact Toy Canon Support to suggest a collectible or ask whether a particular product may be available for Toy Canon to source.

Submitting a product request does not guarantee that Toy Canon can obtain, list, reserve, or sell the requested product.

Unless Toy Canon expressly accepts a special order under specific terms, a product request does not create an obligation for Toy Canon to purchase or supply that product.

SECTION 13 – FRAUD, ABUSE & SERVICE RESTRICTIONS

Toy Canon reserves the right, subject to applicable law, to take reasonable measures to protect our customers, business, Services, and programs.

This may include:

Canceling suspicious transactions.
Requesting identity or payment verification.
Limiting transaction quantities.
Restricting accounts.
Refusing transactions.
Investigating suspected fraud or abuse.
Restricting participation in promotions or Collector XP.
Taking appropriate action regarding abusive chargeback activity.

Attempts to manipulate orders, returns, promotions, randomized products, Collector XP, payment systems, or other Toy Canon Services may result in restriction or termination of access.

SECTION 14 – INTELLECTUAL PROPERTY

Toy Canon's original website design, branding, logos, graphics, written materials, software, systems, databases, interfaces, Toy Canon Engine technology, and other original materials may be owned by Speculate LLC or licensed to us and are protected by applicable intellectual-property laws.

Third-party product names, characters, artwork, trademarks, photographs, logos, and other intellectual property remain the property of their respective owners.

Nothing in these Terms grants you ownership of Toy Canon or third-party intellectual property.

Unauthorized reproduction, modification, distribution, exploitation, scraping, or other prohibited use of protected Toy Canon materials may violate applicable law.

SECTION 15 – THIRD-PARTY SERVICES

Certain portions of Toy Canon depend on third-party platforms and service providers, including Shopify, payment processors, shipping carriers, technology providers, and other services.

Toy Canon is not responsible for interruptions, errors, outages, or actions caused solely by independent third-party services beyond our reasonable control.

Your use of certain third-party features may also be governed by that provider's applicable terms and privacy policies.

SECTION 16 – DISCLAIMER & LIMITATION OF LIABILITY

To the fullest extent permitted by applicable law, the Services are provided on an “as available” basis.

Toy Canon does not guarantee that the Services will always be uninterrupted, timely, secure, or error-free.

To the fullest extent permitted by law, Speculate LLC and Toy Canon will not be liable for indirect, incidental, special, punitive, exemplary, or consequential damages arising from or relating to the Services, purchases, delays, interruptions, manufacturer actions, or use of Toy Canon's digital features.

Where applicable law permits a limitation of liability, Toy Canon's aggregate liability relating to a particular product or transaction will not exceed the amount actually paid to Toy Canon for the applicable product or transaction giving rise to the claim.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

SECTION 17 – INDEMNIFICATION

To the extent permitted by applicable law, you agree to indemnify and hold harmless Speculate LLC, Toy Canon, and their applicable officers, employees, agents, affiliates, and service providers from claims, liabilities, damages, losses, and reasonable expenses arising from your unlawful misuse of the Services, violation of these Terms, or infringement of another person's rights.

SECTION 18 – GOVERNING LAW & DISPUTES

These Terms are governed by the laws of the State of California, without regard to applicable conflict-of-law principles, except where applicable consumer law requires otherwise.

Subject to any rights or venues that cannot legally be waived, disputes relating to these Terms or the Services will be resolved in the appropriate state or federal courts having jurisdiction in Los Angeles County, California.

SECTION 19 – SEVERABILITY

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision will be enforced to the maximum extent permitted by law or severed where appropriate.

The remaining provisions will continue in effect.

SECTION 20 – NO WAIVER

Toy Canon's failure to enforce a provision of these Terms on one occasion does not constitute a waiver of that provision or our right to enforce it later.

SECTION 21 – CHANGES TO THESE TERMS

Toy Canon may update these Terms from time to time to reflect changes to our Services, policies, technology, programs, business practices, or applicable law.

The revised Terms will be posted on Toy Canon with an updated “Last updated” date.

Where additional notice is required by applicable law, we will provide it.

Your continued use of the Services following an applicable update constitutes acceptance of the revised Terms to the extent permitted by law.

Toy Canon currently operates as an online-only toy and collectible store. We do not currently operate a public retail location.

Do not send returns to the mailing address without prior authorization from Toy Canon Support. Approved returns must be sent according to the return instructions provided by our team.

Changes I made from the old Terms

I removed auctions as an active service, because we haven't established that as part of the current Toy Canon model. If you eventually introduce auctions, we can add auction-specific terms back.

I also completely removed the old in-store pickup / Valencia retail location section and replaced both instances of the old address. The Terms now use the Arleta PO Box.

More importantly, these Terms now recognize the parts of Toy Canon that didn't exist when the old version was written: **Friday Drops, immediate preorder payment, cancellation before fulfillment, manufacturer cancellations
